I'm looking to Colocate my server, I already choose TP/SM.. Now, my rig, i've been looking around..

Brand: Dell
Processor Type: Intel Pentium III Xeon
Processor Speed: 700 MHz
Hard Drive Capacity: 36 GB
Memory (RAM): 1 GB

What would this measure up in a P4? I can always replace the Motherboard with other Chips yes? That's a P4?

You'll certainly have less processing power to work with compared to a P4. Dell tends to put proprietary stuff into their systems, and you may have a hard time fitting a P4 compatible motherboard into your chassis. It depends on the model chassis you have.

It all depends on what you are going to do... For some tasks that server will do nicely - but for others, it is cheaper to buy a new server...

For $499 through Dell I got a (tower, not rackmount sadly) server: P4 2.8, 80GB SATA, 1GB RAM... Not bad for $499 - it was onsale from $900 and something...

but you can't co-lo anything less than 1/3 of a rack, can you? Last I heard, they weren't colo'ing single servers.
